Terms of Service

Acceptance of terms

These Terms of Service ("Terms") form an agreement between Beeyacorp Ltd ("Beeyacorp", "we", "us") and any person or business ("you", "client") that uses beeyacorp.org, submits an audit request, or engages us to provide marketing services. By using our website or instructing us to begin work, you accept these Terms in full.

Our services

Beeyacorp provides performance marketing services, including paid media management, conversion rate optimisation, SEO and content authority, GEO and AI search optimisation, analytics and attribution, and landing page optimisation. The specific scope, deliverables, and pricing for any engagement are set out in a separate proposal or statement of work, which these Terms incorporate by reference.

Client responsibilities

Effective delivery depends on client cooperation. You agree to:

  • Provide timely access. Grant access to advertising accounts, analytics, website, and CRM systems required to perform the agreed work.
  • Provide accurate information. Ensure business, product, and pricing information you share with us is accurate and lawful to advertise.
  • Review and approve. Respond to approval requests, creative reviews, and reporting within a reasonable time so campaigns are not delayed.
  • Maintain compliance. Ensure your own website, offers, and data practices comply with applicable law, including advertising standards and data protection legislation.

Fees and payment

Fees are set out in the applicable proposal or statement of work and are exclusive of VAT unless stated otherwise. Unless otherwise agreed, invoices are due within 14 days of issue. Advertising spend that we manage on your behalf on Google, Meta, or other platforms is billed separately from our management fee and, where we do not hold your card directly on the platform, is payable in advance. Late payment may result in suspension of services.

Intellectual property

You retain ownership of your existing brand assets, trademarks, and content supplied to us. Creative assets, copy, landing pages, and reports we produce specifically for your engagement become your property once fees for that work are paid in full. Beeyacorp retains ownership of its own pre-existing methodologies, frameworks, templates, and tools used to deliver the work, and may reuse the general knowledge and experience gained from an engagement, excluding confidential client data.

Confidentiality

Each party agrees to keep confidential any non-public business, technical, or financial information disclosed by the other party during the engagement, and to use it only for the purpose of delivering or receiving the services. This obligation survives termination of the engagement. Documented case study results may be published in anonymised or client-approved form as part of our marketing.

Performance disclaimer

Marketing performance depends on factors outside our control, including market conditions, competitor activity, platform policy changes, and your own website, pricing, and offer. While we set targets and report transparently against them, we do not guarantee specific rankings, conversion rates, cost per acquisition, or revenue outcomes. Case study and article figures describe documented results for the specific account referenced and are not a guarantee of similar results for any other business.

Limitation of liability

To the maximum extent permitted by law, Beeyacorp's total liability arising out of or in connection with an engagement is limited to the fees paid to us for the services giving rise to the claim in the 12 months preceding the event. We are not liable for indirect or consequential loss, including loss of profit, revenue, or business opportunity. Nothing in these Terms limits liability for death, personal injury caused by negligence, fraud, or any other liability that cannot lawfully be excluded.

Termination

Either party may terminate an ongoing engagement in line with the notice period set out in the applicable proposal, typically 30 days' written notice, unless a different term is agreed in writing. Beeyacorp may suspend or terminate services immediately in the event of non-payment or a material breach of these Terms. Fees for work completed up to the date of termination remain payable.

Governing law

These Terms are governed by the laws of England and Wales, and any dispute arising from them is subject to the exclusive jurisdiction of the courts of England and Wales.

Changes to these terms

We may update these Terms from time to time to reflect changes in our services or legal requirements. The "Last updated" date at the top of this page indicates when the Terms were last revised. Material changes affecting an active engagement will be communicated directly to the client.
