Overview

These Terms of Service (“Terms”) govern your use of the Beeyacorp website at beeyacorp.org and any services provided by Beeyacorp (“we”, “us”, “our”). By accessing our website or using our services, you agree to be bound by these Terms.

Please read these Terms carefully. If you do not agree with any part of them, you should not use our website or services.

Plain language summary: We provide paid advertising analysis and restructuring services to businesses. You can request a free audit with no obligation. If you proceed to paid services, a written scope of work governs that engagement. We are not responsible for outcomes affected by factors outside our control.

Our services

Beeyacorp provides the following services to local service businesses:

  • Free paid advertising structural audits with written findings reports
  • Paid campaign architecture restructuring for Google Ads and Meta Ads accounts
  • Attribution setup and server-side conversion tracking (CAPI) implementation
  • Ongoing paid advertising management and optimisation
  • Paid advertising strategy consulting

We reserve the right to modify, suspend, or discontinue any service at any time with reasonable notice. We will not be liable for any modification, suspension, or discontinuation of services, except where an active paid engagement is in progress, in which case our Refund Policy applies.

Eligibility

Our services are available to businesses and business decision-makers only. By engaging our services, you represent that:

  • You are at least 18 years of age
  • You are acting on behalf of a legitimate business entity
  • You have the authority to enter into agreements on behalf of your business
  • You are not located in a jurisdiction where receiving our services would be unlawful

We reserve the right to decline a request for our services from any individual or business at our discretion.

Free structural audit

The free structural audit is provided on the following terms:

  • No payment is required and no commercial obligation is created by requesting or receiving the free audit
  • The written findings report is prepared based on the ad account data available to us and the information you provide
  • The findings report reflects our professional assessment at the time of the audit. It is not a guarantee of future performance
  • We may decline to complete a free audit if the ad account does not meet our minimum spend threshold of $5,000 per month or if the account access requested is not provided within 5 business days of the audit being scheduled
  • The 15-minute findings call is informational only. No commercial proposal will be made unless you ask for one

Paid engagements

If you choose to proceed to a paid engagement following the free audit, the following terms apply in addition to the broader terms in this document:

Scope of work

All paid work is governed by a written scope of work document agreed by both parties before any payment is made. The scope document will specify deliverables, timelines, payment terms, and any conditions. In the event of any conflict between these Terms and the scope of work document, the scope of work document will prevail for that specific engagement.

Payment

Payment terms are set out in the scope of work. Unless otherwise agreed in writing, invoices are due within 14 calendar days of issue. Work will not commence or continue if invoices remain unpaid beyond their due date.

No contract, no lock-in

We do not require long-term contracts. Each paid engagement is defined by its scope of work. Either party may terminate an engagement in accordance with the Termination section below.

Client obligations

To allow us to perform our services effectively, you agree to:

  • Provide access to the ad accounts, analytics platforms, and conversion data required to complete the agreed scope of work
  • Respond to requests for information, approvals, or decisions within 3 business days
  • Ensure that any data you provide to us (including audience data, conversion events, and business information) is accurate and that you have the right to share it with us
  • Not make changes to campaign structure, budget, or targeting during an active restructure phase without first notifying us in writing
  • Comply with the advertising platform policies of Google and Meta, and any other platforms used in your campaigns

Delays in delivering required access, information, or approvals may result in revised timelines. We will not be liable for delays caused by client-side actions or inactions.

Results and performance

We provide structural campaign architecture services. Results showcased on our website are verified from client account data and represent actual outcomes achieved. They are not a guarantee of results for your account.

Ad performance is affected by numerous variables outside our direct control, including but not limited to:

  • Platform algorithm changes by Google and Meta
  • Market conditions and competitive auction dynamics
  • The quality and conversion rate of your website or landing pages
  • Creative quality and relevance to your target audience
  • Budget levels set by you or your team
  • Seasonal and economic factors affecting demand

We will always report on the metrics agreed in the scope of work, using data from the ad platforms and, where available, server-side verified conversion data. We do not manipulate or selectively report data.

Intellectual property

All content on the Beeyacorp website, including text, graphics, methodology descriptions, and campaign structure frameworks, is the intellectual property of Beeyacorp and is protected by applicable copyright law.

The written findings reports and other deliverables produced for you under a paid engagement become your property upon receipt of full payment for that deliverable. Beeyacorp retains the right to use anonymised, aggregated data from engagements for internal benchmarking and product improvement purposes.

You may not reproduce, distribute, or publicly share our methodology documentation, campaign architecture frameworks, or proprietary processes without our written consent.

Confidentiality

Both parties agree to keep confidential any non-public business information shared during the course of an engagement. This includes ad account performance data, business financials, client lists, and internal strategy documents.

This obligation does not apply to information that is or becomes publicly available through no fault of the receiving party, or that the receiving party is required to disclose by law.

Beeyacorp may use your company name and anonymised performance metrics as a case study reference with your prior written consent.

Limitation of liability

To the fullest extent permitted by applicable law, Beeyacorp shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services, including but not limited to loss of profits, loss of revenue, or loss of business opportunity.

Our total liability for any claim arising from a paid engagement shall not exceed the total amount paid by you for that specific engagement in the 3 months preceding the claim.

Nothing in these Terms limits our liability for fraud, gross negligence, or any other liability that cannot be limited by law.

Termination

Either party may terminate a paid engagement by providing 14 calendar days’ written notice by email. Upon termination:

  • Any work completed up to the termination date will be invoiced at the agreed rate on a pro-rata basis
  • All deliverables completed and paid for will be transferred to you
  • Both parties will return or securely delete any confidential information belonging to the other party
  • Ad account access provided to Beeyacorp will be revoked by you within 5 business days of the termination date

Beeyacorp may terminate an engagement immediately without notice if you breach these Terms or the agreed scope of work and fail to remedy the breach within 3 business days of written notification.

Governing law

These Terms are governed by and construed in accordance with the laws of the jurisdiction in which Beeyacorp is registered. Any disputes arising under these Terms will be subject to the exclusive jurisdiction of the courts of that jurisdiction.

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

Changes to these terms

We may update these Terms from time to time. Material changes will be communicated by updating the “Last updated” date at the top of this page. Your continued use of our website or services after changes take effect constitutes acceptance of the updated Terms.

For active paid engagements, changes to these Terms will not affect the scope of work in progress unless agreed in writing by both parties.
